LEGAL CONTRACT GUIDE

Understanding Non-Disclosure Agreements (NDAs)

A Non-Disclosure Agreement (also known as a confidentiality agreement, CDA, or proprietary information agreement) is a legally binding contract that establishes a confidential relationship between parties. The party receiving sensitive commercial, technical, or financial data agrees not to disclose or exploit it without authorization.

What is the difference between a Mutual (Bilateral) and Unilateral NDA? ▼

A Unilateral NDA (one-way confidentiality agreement) applies when only one party discloses sensitive data. Common unilateral scenarios include hiring a freelance software engineer, pitching proprietary product schematics to an offshore manufacturer, or revealing internal financial metrics to an employee.

A Mutual NDA (two-way confidentiality agreement) applies when both parties anticipate sharing proprietary trade secrets. This is standard during commercial partnership explorations, joint ventures, co-marketing collaborations, and preliminary corporate merger discussions where both sides inspect each other's proprietary software code or customer lists.

How long should an NDA remain legally enforceable? ▼

Most standard commercial NDAs specify a term between 1 and 3 years (2 years is widely recognized as industry standard across US tech, SaaS, and venture-backed companies). However, true Trade Secrets (such as proprietary algorithms, chemical formulations, source code, and strategic pricing models) should always be protected indefinitely for as long as they meet the statutory requirements of the federal Defend Trade Secrets Act (DTSA) or state Uniform Trade Secrets Act (UTSA). Our generator explicitly includes a perpetual trade secret carve-out.

Why is Delaware governing law standard in business agreements? ▼

Delaware has the most developed corporate and commercial jurisprudence in the United States. Its specialized Court of Chancery adjudicates business disputes without juries, utilizing experienced corporate judges who deliver rapid, consistent, and predictable legal rulings. While you can select your home state (such as California, New York, or Texas), Delaware is broadly accepted as a neutral, respected standard by founders, investors, and corporate counsel nationwide.

Does an NDA prevent a contractor or employee from working for a competitor? ▼

No. An NDA prohibits the unauthorized disclosure or misappropriation of confidential information; it is not a Non-Compete Agreement. Several US states (most notably California under Bus. & Prof. Code § 16600, Minnesota, and Washington) have banned or strictly prohibited non-compete clauses. However, confidentiality agreements protecting legitimate trade secrets remain universally enforceable across all 50 states.

What is the DTSA Notice of Immunity under 18 U.S.C. § 1833(b)? ▼

Under the federal Defend Trade Secrets Act of 2016 (DTSA), employers and contracting companies must provide notice of whistleblower immunity to employees and independent contractors in any contract that governs the use of trade secrets. If an employer fails to include this statutory notice, it forfeits the legal right to recover punitive (exemplary) damages and attorney's fees in federal court if the trade secret is later stolen. Our generator automatically embeds this vital statutory notice in Section 8.
